Corporate governance systems developed around the world are the result of different models of business management and governance; their characteristics represent different capitalist, legislative, cultural, environmental, and financial approaches. The author, after analyzing these systems and the role, characteristics, and composition of the board of directors - the critical governing body, explores the main innovations in terms of sustainability, ESG factors and diversity that impact on corporate governance. The work ends with an insight of Italian corporate governance system.
